Welcome to Rich Height, a sister concern of RH Enterprise (“we,” “our,” or “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website https://richheight.com/ and the apparel sourcing, merchandising, quality assurance, and buying house services provided by Rich Height / RH Enterprise.

By browsing our website, submitting sourcing inquiries, or entering into business agreements with us, you (“Buyer,” “Client,” or “User”) agree to be bound by these Terms. If you do not agree to these Terms, please do not use our website or services.

1. Scope of Services

Rich Height, operating under RH Enterprise, is an apparel buying house and sourcing agency based in Bangladesh. Our services include:

  • Factory sourcing and vendor assessment
  • Product development, sampling, and pattern making
  • Merchandising, raw material procurement, and fabric sourcing
  • Quality control (inline and final pre-shipment inspections)
  • Production monitoring and export supply chain logistics coordination

2. Inquiries, Quotations & Order Placement

  • Price Quotations: All quotations (FOB, CIF, CFR, or Ex-Factory) provided via email, quotation sheet, or website forms are based on current yarn, fabric, labor, and freight costs. Quotations remain valid for the period specified in the offer sheet and are subject to confirmation based on final tech packs and order quantities.
  • Order Confirmation: An order is considered confirmed only upon issuance of a formal Purchase Order (PO) / Proforma Invoice (PI) by RH Enterprise / Rich Height and fulfillment of mutually agreed commercial terms (such as advance deposit or opening of an operable Letter of Credit).
  • Tech Pack & Specifications: The Buyer is responsible for providing accurate technical specifications, size charts, artwork, fabric compositions, and target tolerances.

3. Sampling & Approvals

  • Proto & Fit Samples: Samples are developed based on buyer specifications. Bulk production will only commence after obtaining written approval (via email or signed sample approval sheet) for fit, fabric quality, lab dips/colors, and accessories.
  • Sample Costs: Unless agreed otherwise in writing, development and courier costs for initial samples may be billed to the Buyer or adjusted against final bulk production orders.

4. Quality Control & Acceptable Quality Limit (AQL)

  • Rich Height adheres strictly to international apparel inspection standards (typically AQL 1.5 / 2.5 / 4.0 or as agreed in the commercial contract).
  • Third-party inspection agencies (e.g., SGS, Bureau Veritas, Intertek) nominated by the Buyer are accommodated upon prior written notice and schedule alignment.

5. Intellectual Property & Confidentiality

  • Client Designs: All tech packs, proprietary garment designs, patterns, logos, brand labels, and artwork provided by the Buyer remain the sole intellectual property of the Buyer. Rich Height / RH Enterprise will not reproduce, distribute, or display client-exclusive designs for third-party commercial sale without explicit permission.
  • Website Content: All original text, layout, branding, logos, and materials on richheight.com are the intellectual property of Rich Height and RH Enterprise and may not be copied or republished without written authorization.

6. Payment & Commercial Terms

  • Payment methods, banking details, and credit arrangements will be explicitly outlined in the official Sales Contract / Proforma Invoice issued under RH Enterprise / Rich Height (typically via Irrevocable Letter of Credit at Sight – L/C, or Telegraphic Transfer – T/T).
  • Any delayed payments or failure to open operable financial instruments within agreed timelines may lead to production rescheduling or shipment delays, for which Rich Height / RH Enterprise shall not be held liable.

7. Shipment & Delivery

  • While Rich Height diligently monitors factory production schedules to meet target ex-factory dates, estimated delivery dates are subject to timely approvals of samples, raw material availability, and shipping line schedules.
  • Rich Height / RH Enterprise is not liable for logistics delays caused by shipping carrier issues, port congestions, customs clearance delays in destination countries, or international freight disruptions.

8. Force Majeure

Neither party shall be held liable for failure or delay in fulfilling obligations if such failure arises from circumstances beyond reasonable control, including but not limited to acts of God, extreme weather events, fire, floods, epidemics/pandemics, strikes, factory labor unrest, raw material embargoes, war, or governmental actions.

9. Limitation of Liability

To the maximum extent permitted by law, Rich Height and parent entity RH Enterprise shall not be liable for any indirect, incidental, punitive, or consequential damages resulting from website downtime, minor shade/hand-feel variations within standard textile industry tolerance limits, or third-party carrier negligence.

10. Governing Law & Jurisdiction

These Terms and any commercial agreements between Rich Height / RH Enterprise and the Client shall be governed by and construed in accordance with the applicable commercial laws of Bangladesh, with dispute resolution handled via mutual negotiation or authorized arbitration bodies in Bangladesh.

11. Amendments to Terms

We reserve the right to update or modify these Terms & Conditions at any time. Changes will be posted directly to this page with the updated revision date.
